1. Parties & definitions

"We", "us" or "Knowledge Catalog" means Troy Overend (sole trader), ABN 65 425 450 090, based in Queensland, Australia. "You" means the individual or entity that registers an account. "Service" means the Knowledge Catalog web application, catalog generation and delivery features, and related APIs, dashboards, and support.

2. Eligibility and your account

• You must be at least 18 years old and able to enter a binding contract.
• You will provide accurate, current and complete information and keep it up to date.
• You are responsible for all activity under your account and for keeping credentials secure.
• One account per person or business unless we agree otherwise in writing.

3. Subscriptions, plans and billing

• Plans are billed monthly or yearly in advance in Australian dollars (AUD), inclusive of GST where applicable.
• Payments are processed by Stripe; you agree to Stripe's terms in addition to ours.
• Subscriptions renew automatically at the end of each billing period until you cancel from the dashboard.
• Cancellation stops future renewals; access continues until the end of your current paid period. See our Refunds & Billing Policy.

4. Changes to plans and pricing

We may change plan features or prices. Where a price change affects an existing recurring subscription, we will give you at least 30 days' notice by email or in-app before it applies on your next renewal. Continuing to use the Service after the change takes effect confirms your acceptance of the new price.

5. Your content and the licence you grant us

You retain ownership of the business information, catalog entries, media and other material you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, back up, reproduce, transmit, adapt and display Your Content solely to operate, secure and improve the Service and to deliver Your Content to the audiences and integrations you configure.

You warrant that you have all rights necessary to grant this licence and that Your Content does not breach the Acceptable Use Policy or Australian law.

6. Our intellectual property

The Service, including its software, brand, design, structure, prompts, and documentation, is owned by us or our licensors and is protected by Australian and international intellectual property laws. Nothing in these Terms transfers those rights to you.

7. Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, deploy updates, or make changes to features. Where reasonably practicable we will give advance notice of planned downtime.

8. Consumer guarantees and liability

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). For major failures with the service you are entitled to cancel your service contract and receive a refund for the unused portion, or to compensation for its reduced value; and you are entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion.

To the maximum extent permitted by law, and subject to the paragraph above, our aggregate liability to you for any claim arising out of or in connection with the Service is limited to the fees you paid to us for the Service in the 12 months immediately before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive loss, including loss of profits, revenue, data or goodwill.

9. Indemnity

You agree to indemnify us against loss, damage, cost or expense we suffer arising from Your Content, your breach of these Terms or the Acceptable Use Policy, or your unlawful use of the Service.

10. Suspension and termination

• You may cancel your subscription at any time from the dashboard.
• We may suspend or terminate your access if you materially breach these Terms or the Acceptable Use Policy, if payment fails after reasonable retries, or if required by law.
• On termination we will make Your Content available for export for 30 days on request to support@knowledgecatalog.com.au, after which we may delete it in the ordinary course of our data retention.

11. Governing law and jurisdiction

These Terms are governed by the laws of Queensland, Australia. You and we submit to the exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.

13. Changes to these Terms

We may update these Terms from time to time. If a change materially reduces your rights we will give reasonable notice by email or in-app before it takes effect. Continued use of the Service after the effective date constitutes acceptance.
